Terms and Conditions

These Terms and Conditions (“Terms”) govern your access to and use of Allz.ai (“Allz,” “we,” “us” or “our”) and its artificial-intelligence, content-creation, marketing, social-media management, automation and related services (“Services”).

By creating an account, purchasing a Service or using Allz, you agree to these Terms.

If you do not agree, do not use the Services.

Canadian Availability

The Services are intended for individuals residing in Canada and businesses operating in Canada.

Our public website may be accessible outside Canada, but this does not mean that Allz offers Services in another jurisdiction.

You must be at least 18 years old and legally capable of entering into a binding agreement.

Your Account

You must provide accurate account information and keep your login credentials secure.

You are responsible for activity conducted through your account and for users you authorize to access your workspace.

You must promptly notify us if you believe your account has been compromised.

AI Services

Allz may provide AI-powered tools for text, images, audio, voice, video, marketing, automation and other purposes.

Allz may use third-party providers such as OpenAI, Anthropic, Google, Meta, Microsoft and others to provide these features.

AI outputs may be inaccurate, incomplete, offensive, misleading, non-unique or unsuitable for your intended purpose.

You must review and verify outputs before relying on, publishing or distributing them.

Allz does not guarantee that AI-generated content is accurate, original, copyrightable, non-infringing or appropriate for any particular use.

No Professional Advice

AI outputs do not constitute legal, medical, financial, accounting, tax or other regulated professional advice.

You must obtain qualified professional advice where appropriate.

Your Content

You retain any rights you hold in the content you submit to Allz.

You grant Allz permission to host, transmit and process that content only as reasonably necessary to provide, secure and operate the Services.

You are responsible for ensuring that you have all rights and permissions required to submit, process and publish your content.

Generated Content

To the extent permitted by law, you may use outputs generated for you through Allz.

Allz does not guarantee that you will own intellectual-property rights in any output or that another user will not receive a similar output.

You are responsible for confirming that your use of generated content does not violate third-party rights.

Social-Media Services

Allz may allow you to connect social-media and other third-party accounts.

By connecting an account, you authorize Allz to perform the actions you select, which may include retrieving information, creating drafts, scheduling posts, publishing content and accessing analytics.

You must have authority to connect and manage each account.

Third-party platforms may change, suspend or discontinue their APIs or Services at any time. Allz is not responsible for independent changes, outages or account actions taken by those platforms.

Automated Posting

You may configure Allz to schedule or automate content.

You are responsible for reviewing your automation settings, generated content, publication dates and applicable legal or platform requirements.

Allz does not guarantee that a scheduled post or automated action will occur at an exact time or succeed.

Acceptable Use

You must not use Allz to:

  • violate any law;

  • commit fraud or impersonate another person;

  • infringe intellectual-property or privacy rights;

  • create unlawful or non-consensual deepfakes;

  • create or distribute non-consensual intimate content;

  • send spam or unlawful marketing;

  • engage in harassment, threats or exploitation;

  • distribute malware or malicious code;

  • bypass security or usage limits;

  • access another user’s account without authorization;

  • interfere with the Services;

  • create unlawful discriminatory or high-impact decisions about individuals; or

  • use the Services for another unlawful or harmful purpose.

We may restrict or terminate access where we reasonably believe these Terms have been violated.

Voice, Image and Likeness

You must have all required rights and consent before uploading or using another person’s voice, photograph, likeness or other identifiable characteristics.

You must not use Allz to impersonate or misrepresent another person in a deceptive or harmful manner.

Marketing Compliance

If you use Allz for email, social-media, advertising or marketing activities, you are responsible for complying with applicable privacy, anti-spam, advertising and consumer-protection laws.

You must obtain required consent and honour unsubscribe or opt-out requests.

Payments and Subscriptions

Some Services require payment.

Prices, billing frequency, taxes and subscription details will be disclosed before purchase.

Where a subscription renews automatically, you authorize Allz or its payment processor to charge the applicable recurring fees until you cancel.

You must cancel before your next renewal date to avoid the next recurring charge.

Cancellation and Refunds

You may cancel a subscription through the available account or billing controls.

Cancellation normally takes effect at the end of the current paid billing period.

Fees are non-refundable except where:

  • required by law;

  • Allz expressly offers a refund; or

  • a billing error occurred.

Nothing in these Terms limits a mandatory consumer right.

Third-Party Services

Allz relies on third-party AI models, hosting services, payment processors, social-media platforms and other technology providers.

Allz does not control the independent availability, terms, outputs or actions of these providers.

We may change providers or discontinue an integration where reasonably necessary.

Intellectual Property

Allz owns or licenses the software, website, interfaces, branding, templates and technology that make up the Services.

These Terms give you a limited right to use the Services. They do not transfer ownership of Allz technology or intellectual property to you.

Suspension and Termination

We may suspend or terminate access where:

  • you fail to pay;

  • you violate these Terms;

  • your activity creates a security or legal risk;

  • fraud or abuse is suspected;

  • a third-party provider requires us to restrict access; or

  • we discontinue a Service.

You may stop using Allz or close your account at any time.

Service Availability

We do not guarantee that Allz will always be available, uninterrupted or error-free.

Maintenance, provider outages, API changes, security incidents, internet failures and other circumstances may interrupt the Services.

Disclaimer

To the maximum extent permitted by law, Allz is provided on an “as is” and “as available” basis.

We do not guarantee:

  • uninterrupted availability;

  • accuracy of AI outputs;

  • specific business or marketing results;

  • continued availability of any third-party integration;

  • successful social-media publication;

  • compatibility with every system; or

  • that generated content will be free from third-party claims.

Nothing in these Terms excludes rights or warranties that Canadian law does not permit us to exclude.

Limitation of Liability

To the maximum extent permitted by law, Allz will not be liable for indirect, incidental, special, consequential or punitive damages, including lost profits, lost data, lost business opportunities or reputational harm.

Allz is not responsible for losses resulting from:

  • reliance on AI-generated content;

  • your content or instructions;

  • social-media publication;

  • third-party platforms or providers;

  • your failure to secure your account;

  • your violation of law; or

  • unauthorized use caused by credentials under your control.

To the maximum extent permitted by law, Allz’s total liability arising from the Services will not exceed the amount you paid Allz during the six months before the event giving rise to the claim.

For free Services, Allz’s maximum aggregate liability will be CAD $100.

These limitations do not apply where applicable law prohibits them.

Indemnity

To the extent permitted by law, you agree to indemnify Allz against third-party claims arising from:

  • your content;

  • your use of AI outputs;

  • your marketing activities;

  • your connected accounts;

  • your violation of these Terms;

  • your violation of law; or

  • your infringement of another person’s rights.

This obligation does not apply where prohibited by consumer-protection law.

Privacy

Our Privacy Policy forms part of these Terms and explains how Allz handles personal information.

Changes

We may update these Terms as the Services, providers or legal requirements change.

Material changes will be communicated as required by law.

Governing Law

These Terms are governed by the laws of Ontario and the federal laws of Canada applicable in Ontario.

Mandatory consumer-protection rights in your province or territory continue to apply where they cannot legally be excluded.

Subject to those mandatory rights, disputes will be brought before the courts of Ontario.

Entire Agreement

These Terms, our Privacy Policy and any additional terms presented for a specific Service form the agreement between you and Allz concerning the Services.

If part of these Terms is unenforceable, the remaining provisions remain effective.
